Terms of Service

1. Who we are and how you agree

PaidOneDollar.com (the “Service”) is operated by PaidOneDollar.com, a protected series of Lemonberry Labs LLC, a Delaware series limited liability company (“we”, “us”, the “Series”).

These Terms of Service (the “Terms”) are a contract between you and the Series. By using the Service in any way, including visiting it, requesting a sign-in link, or making a payment, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of a company or other organization, you confirm that you are authorized to accept these Terms for it, and “you” includes that organization.

Our Privacy Policy explains how we handle personal data. It is not part of the contract, but you should read it.

2. Series entity disclosure

The Service is operated by a protected series of Lemonberry Labs LLC established under Section 18-215 of the Delaware Limited Liability Company Act (6 Del. C. § 18-215). Lemonberry Labs LLC has established the Series in its limited liability company agreement, keeps separate records for each series, accounts for the assets of each series separately, and has given the notice described below. Where those conditions are met, that Act provides that the debts, liabilities, obligations, and expenses incurred, contracted for, or otherwise existing with respect to this Series are enforceable only against the assets of this Series, and not against the assets of Lemonberry Labs LLC generally or of any other series of Lemonberry Labs LLC.

You agree that your only recourse for any claim arising from or related to the Service is against the assets of this Series. To the extent permitted by law, you waive any right to proceed against the assets of Lemonberry Labs LLC generally or of any other series of it for obligations arising from the Service.

The Certificate of Formation of Lemonberry Labs LLC on file with the Delaware Secretary of State contains the notice of the limitation on liabilities of a series required by 6 Del. C. § 18-215(b).

No series of Lemonberry Labs LLC has authority to bind any other series or Lemonberry Labs LLC generally, and nothing in these Terms creates an agency, partnership, or joint venture between them.

3. Who can use the Service

You must be at least 18 years old, and old enough to enter into a binding contract where you live, to make a payment or sign in. You may not use the Service if doing so is illegal where you are, or if you are subject to sanctions or other restrictions that prohibit us from doing business with you.

4. How the Service works

The Service is a leaderboard ranked by money paid. In detail:

• Entries. A payment of at least $1 places a title and a link (an “Entry”) on the leaderboard. There is one Entry per email address.
• Ranking. Entries are ordered by the total amount paid with the same email address, counted before tax. Every payment with that email address adds to the total. When two Entries have the same total, the one that reached its total first ranks higher. Every new payment you make resets the time at which you are treated as having reached your total.
• What visitors see. Anyone, including search engines, can see the titles, links, and ranks of the top 30 Entries, and whether there are more. Entries ranked lower than 30 are visible only to signed-in users who have paid. So are the exact number of Entries and the sum of the totals of all Entries on the leaderboard. If your Entry is ranked lower than 30, or drops below it, the public cannot see it.
• Amounts. The amount behind an Entry is hidden by default. A signed-in user who has paid can see the total of every Entry whose total is equal to or less than their own. This means anyone who has paid at least as much as you can see your total. In addition, because paid users see the sum of all totals, a user can subtract the totals they can see from that sum to get the combined total of the Entries that paid more than they did. When only one Entry paid more than a user, that user learns its exact total. For example, the user ranked second can always work out the total of the user ranked first. A paid user who watches the sum change can also learn the size of each new payment, and can often tell which Entry made it.
• Editing. When you are signed in with the email address of an Entry, you can change its title and link at no charge, subject to Sections 9 and 10.
• Earlier payments. If you paid on PaidOneDollar.com before the leaderboard existed, we created an Entry for your email address, credited with what you had paid, under a placeholder title such as “Early payer #12” and with no link. You can sign in to change it, or email us to have it removed.

If anything elsewhere on the Service conflicts with these Terms, these Terms apply.

5. Your email address is your account

There are no passwords. An Entry belongs to whoever controls the email address used to pay for it. We verify that control by emailing a one-time sign-in link, which expires 30 minutes after it is sent.

• Enter your email address correctly. If you pay with a mistyped address or one you cannot receive mail at, you will not be able to sign in, see amounts, or edit your Entry. We may help you move an Entry to the right address if you can show us that you made the payment, but we are not obliged to.
• Use only an email address you control. A payment made with someone else’s email address is credited to the Entry for that address, which only its owner can access. It is not refundable.
• Paying without being signed in. If you pay with an email address that already has an Entry and you are not signed in with that address, your payment is added to that Entry’s total, and the Entry’s existing title and link are kept. Sign in to change them.
• Keep your inbox secure. Anyone with access to your email can sign in as you. You are responsible for activity carried out through your email address.

6. Payments and taxes

• Each payment is a single, one-time charge in US dollars for the amount you choose, between $1 and $999,999.99 per payment. There are no subscriptions and no recurring charges.
• Payments are processed by Stripe. Your use of Stripe’s checkout is also subject to Stripe’s own terms and privacy policy. We never receive your full card number.
• Sales tax, VAT, or similar taxes may be added at checkout depending on your location. Tax is added on top of the amount you choose and does not count toward your leaderboard total.
• Your Entry is created or credited once Stripe confirms that the payment succeeded. With payment methods that settle later, this can take longer than the checkout itself. If you were charged and your Entry was not credited, email hello@paidonedollar.com and we will fix it.
• Your bank or card issuer may charge currency conversion or other fees. Those are between you and them.

7. No refunds

All payments are final and non-refundable, except where a refund is required by law. This applies, for example, if another Entry outranks yours, if you change your mind, if you entered the wrong email address, if your Entry is hidden or removed under Section 10, or if the Service changes or ends under Section 14.

Right of withdrawal (EU, EEA, and UK consumers). Consumers in some countries have a legal right to withdraw from an online purchase within 14 days. What you buy here is delivered in full as soon as your payment is confirmed: your Entry is published and credited and the amounts you are entitled to see are made available. By paying, you expressly ask us to perform the contract immediately, and you acknowledge that you lose your right of withdrawal once we have fully performed it.

Chargebacks. If a payment is reversed, disputed, or found to be fraudulent or unauthorized, we may deduct it from the Entry’s total, hide the Entry, or remove it. If you believe a charge was made without your authorization, contact us at hello@paidonedollar.com before or as well as contacting your bank.

Nothing in this Section limits rights you have under consumer law that cannot be waived by contract.

8. What you are buying, and what you are not

A payment buys the placement of your Entry on the leaderboard under the rules in Section 4, and the limited view of other Entries’ amounts described there, for as long as we operate the leaderboard. It buys nothing else. In particular:

• No guaranteed rank. Your rank changes whenever someone else pays. You cannot see what Entries above you paid, so you cannot know in advance what a given rank costs.
• No guaranteed duration. We do not promise that the Service, the leaderboard, or your Entry will stay online for any period of time.
• No guaranteed audience. We do not promise views, clicks, traffic, customers, or any effect on search rankings. Links on the leaderboard are marked as sponsored, user-generated content (rel="sponsored ugc"), which tells search engines not to treat them as endorsements.
• No prize and no return. The Service is entertainment. It is not a contest, sweepstakes, lottery, or game of chance, and nothing of monetary value is awarded to anyone. A payment is not an investment, a loan, a deposit, or a purchase of any security or asset. It cannot be withdrawn, transferred, or sold.
• Not a donation. We are a for-profit business. Payments are not charitable contributions and are not tax-deductible as such.
• Amounts are hidden, not confidential. Hiding amounts is a feature of the game, not a promise of secrecy. Your rank is visible and shows who paid more than whom. Anyone who pays at least as much as you can see your total, some users ranked below you can calculate it (Section 4), and we cannot stop any of them from telling others. Do not pay an amount you would be unhappy to see disclosed.

9. Your Entry: rules and license

You are solely responsible for your Entry’s title and link, and for the page the link leads to. Your Entry must not contain, promote, or link to anything that:

• is illegal, or promotes or facilitates illegal activity;
• is hateful, harassing, threatening, or promotes violence against a person or group, or sexualizes minors in any way;
• is sexually explicit or pornographic;
• is fraudulent, deceptive, or misleading, including scams, phishing, impersonation of another person or organization, and false claims of affiliation with us;
• distributes malware or tries to compromise visitors’ devices, accounts, or data;
• infringes someone else’s copyright, trademark, privacy, publicity, or other rights, or discloses someone’s private information without permission;
• redirects to a different destination than the one presented, or is changed after screening to something these rules do not allow.

You confirm that you have the right to use the title and link you submit. You keep whatever rights you have in them. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your Entry on the Service, and to show it in screenshots, social media posts, and other material about the Service. The license lasts while your Entry is on the Service and for a reasonable time afterward to allow for caches, backups, and material already published.

The top 30 Entries are public and may be indexed, copied, or archived by search engines and other third parties. We cannot remove your title or link from places we do not control.

10. Moderation, reports, and appeals

• Automated screening. When you submit or edit a title and link, we send them to an automated content-moderation model operated by OpenAI. If the model flags them, the submission is rejected and you are asked to change it. This happens before checkout, so a rejected submission is never charged. The screening is imperfect: it can reject acceptable content and let unacceptable content through.
• Review by us. We may review any Entry at any time, on our own initiative or after a report. If we decide, in our reasonable judgment, that an Entry breaks Section 9 or these Terms, exposes us or others to legal risk, or is otherwise harmful to the Service or its users, we may hide it from the leaderboard, replace its title or link, or remove it. We do not refund payments when we do this.
• Reporting an Entry. To report an Entry that you believe breaks these rules or the law, email hello@paidonedollar.com with the title of the Entry and the reason.
• Appeals. If your submission was rejected or your Entry was hidden or changed and you think that was a mistake, email hello@paidonedollar.com from the email address of the Entry. We may review it, and our decision is final.

We are not obliged to monitor Entries and do not review the pages they link to on an ongoing basis. An Entry appearing on the leaderboard does not mean we have approved or endorsed it.

11. Copyright and trademark complaints

If you believe an Entry infringes your copyright or trademark, email hello@paidonedollar.com with: (a) a description of the work or mark; (b) the Entry in question; (c) your name and contact details; (d) a statement that you believe in good faith that the use is not authorized by the owner, its agent, or the law; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner; and (f) your physical or electronic signature. We remove Entries that are the subject of valid notices and, in appropriate circumstances, block people who infringe repeatedly from the Service.

12. Prohibited conduct

You agree not to:

• obtain, or try to obtain, amounts or other data you have not unlocked, by any means other than paying under these Terms. Working out a total from figures the Service shows you is not a breach of this rule;
• pay or sign in with an email address you do not own or control;
• pay with a payment method you are not authorized to use, or use the Service to launder money;
• access the Service with bots, scrapers, or other automated tools, other than search engine crawlers that follow our robots.txt file;
• probe, attack, overload, or interfere with the Service, or bypass its security or rate limits;
• evade moderation, or get around the hiding or removal of an Entry by creating another one;
• use the Service in a way that breaks the law or harms us or other users.

13. Third-party links and services

Links on the leaderboard are submitted by users and lead to websites we do not control. We do not endorse them and are not responsible for their content, products, or practices. You follow them at your own risk.

The Service relies on third parties, including Stripe for payments. We are not responsible for the acts or omissions of third-party services, to the extent permitted by law.

14. Changes to the Service, suspension, and ending

We may change how the Service works, including the ranking rules, what is visible to whom, and what is hidden, and we may suspend or shut down the Service or any part of it, at any time and without notice. If we do, you are not entitled to a refund of earlier payments, except where the law requires one.

We may hide or remove your Entry and block your access to the Service if you break these Terms. You can stop using the Service at any time, and you can ask us to remove your Entry by emailing hello@paidonedollar.com. Removal does not entitle you to a refund.

15. Our intellectual property

The Service, including its name, design, text, graphics, and code, belongs to the Series or its licensors and is protected by intellectual property laws. Titles and links belong to the users who submitted them. We grant you a limited, revocable, non-transferable permission to use the Service for its intended purpose. If you send us feedback or ideas, we may use them without owing you anything.

16. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that ranks or amounts will always be displayed correctly, or that Entries or the sites they link to are safe, lawful, or accurate.

17. Limitation of liability

To the maximum extent permitted by law, neither the Series, nor Lemonberry Labs LLC, nor any other series of it, nor any of their members, managers, officers, employees, or agents, will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to the Service or these Terms, however caused and even if advised that such damages were possible.

To the maximum extent permitted by law, the total liability of the Series for all claims arising from or related to the Service or these Terms is limited to the greater of (a) the total amount you paid to the Series in the twelve (12) months before the event giving rise to the claim, and (b) fifty US dollars ($50.00).

Some laws do not allow certain warranties to be disclaimed or certain liability to be limited. Nothing in these Terms excludes or limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be excluded or limited under the law that applies to you. If you are a consumer, you keep the rights the law gives you that cannot be waived.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless the Series, Lemonberry Labs LLC, any other series of it, and their members, managers, officers, employees, and agents from third-party claims, and from the resulting liabilities, damages, losses, and reasonable costs (including legal fees), that arise from your Entry, the page it links to, your breach of these Terms, or your violation of the law or of someone else’s rights.

19. Governing law and disputes

Informal resolution. Before filing a claim, each of us agrees to try to resolve the dispute informally. Email hello@paidonedollar.com with a description of the problem and what you want us to do. If we have not resolved it within 30 days, either of us may bring a formal claim.

Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. The formation, internal affairs, and limitation of liabilities of Lemonberry Labs LLC and its series are governed by the Delaware Limited Liability Company Act (6 Del. C. Chapter 18), including 6 Del. C. § 18-215.

Courts. Claims arising from or related to these Terms or the Service must be brought exclusively in the state courts of Delaware or the United States District Court for the District of Delaware, and each of us consents to the jurisdiction of those courts. Either of us may instead bring an eligible claim in a small claims court.

Individual claims only; no jury. To the extent permitted by law, each of us may bring claims only on an individual basis, not as a plaintiff or class member in a class, collective, or representative action, and each of us waives the right to a trial by jury.

Time limit. To the extent permitted by law, a claim must be brought within one year after it arose.

Mandatory consumer rights. If you are a consumer and the law of the country or US state where you live gives you protections that cannot be waived by contract, or the right to bring a claim in your home courts, this Section does not take those protections or that right away. This includes consumers in the EU, the EEA, and the United Kingdom.

20. Changes to these Terms

We may update these Terms at any time by posting a new version on this page with a new date at the top. The new version applies from the date it is posted. By continuing to use the Service after that date, you agree to it. If you do not agree, stop using the Service.

21. General

• Entire agreement. These Terms are the entire agreement between you and the Series about the Service and replace any earlier agreement about it.
• Severability. If a court finds any part of these Terms unenforceable, that part will be limited to the minimum extent necessary and the rest will stay in effect.
• No waiver. If we do not enforce a provision, that is not a waiver of our right to do so later.
• Assignment. You may not transfer your rights or obligations under these Terms without our consent. We may transfer ours to a successor or to a buyer of the Service.
• Survival. Sections 2, 7, 8, 9 (the license), and 15 through 21 continue to apply after you stop using the Service.
• Notices. We may send notices to the email address of your Entry or post them on the Service. Send notices to us at hello@paidonedollar.com.
• Language. These Terms are written in English. If they are translated, the English version controls to the extent permitted by law.
